From $3.5 Bn to $200 Mn: Unacademy’s Dramatic Edtech Journey

upGrad has completed its acquisition of Unacademy in a deal valued at just over $200 Mn, according to Unacademy cofounder Gaurav Munjal. The transaction represents a staggering 94%+ decline from Unacademy’s peak valuation of $3.5 Bn in 2021.

Founded in 2015, Unacademy became a unicorn in 2020 and rapidly expanded during India's edtech boom. Its latest transaction, however, reflects how dramatically investor expectations have shifted across the sector.
Interestingly, Munjal said Unacademy had around ₹400 Cr in topline and ₹900 Cr in the bank, with most of its businesses profitable or nearing profitability when the transaction was completed.
For upGrad, the acquisition provides a stronger foothold in K-12 and competitive exam preparation, while adding Unacademy's consumer brand, technology and product capabilities to its portfolio.
The deal also offers a broader lesson for India's startup ecosystem. A high valuation can accelerate growth, but sustainable business fundamentals ultimately determine long-term value.
Unacademy's journey from a $3.5 Bn peak valuation to a $200 Mn acquisition may become one of the more closely watched case studies from India's edtech cycle.
The bigger question now is what upGrad can build with the assets it has acquired. Could this acquisition mark the beginning of a new chapter for both companies?
